LIVE Creator Additional Terms

1.0.0

Last updated: 2026-11-03

These Terms apply to anyone who uses HZION LIVE as a Creator, Guest or Viewer and supplement the Terms of Use and the Privacy Policy, which you have already accepted when accessing the platform. They do not restate the general rules: they refer to them and add only what is specific to LIVE. Operator: GOMO CAPITAL MANAGEMENT LTD, a company registered in England and Wales under number 16395341, with its registered office as shown in the public register at Companies House. Version 1.0.0, in force from 3 November 2026.

1. Nature of these Terms and relationship with other documents

1.1. These Additional Terms (Creator Terms) govern the use of the LIVE feature. The main body (clauses 1 to 20) applies to the Creator; Annex I applies to the Guest; Annex II to the Viewer; and Annexes III to VI apply to everyone, according to each person's role. They supplement the Terms of Use and the Privacy Policy, which continue to apply in full.

1.2. The following also form part of these Terms, by reference and in their current version: the Community Guidelines, the 18+ and Age Assurance policy, Safety and Reporting, Moderation Appeals, AI Moderation, Sub-processors, the DSA Notice and the LGPD Annex, all published in the Legal Centre.

1.3. Order of precedence. In the event of conflict concerning the use of LIVE: (a) the mandatory legal rules of the user's country of residence prevail over everything; (b) next, these Terms and their Annexes; (c) then, the Terms of Use and the Privacy Policy. On any matter not addressed by these Terms, the Terms of Use and the Privacy Policy apply.

1.4. What is not repeated here, and where it is governed:

  • Identification of the Operator and general governing law: Terms of Use, section 1
  • Exclusively 18+ product (general rule): Terms of Use, section 2
  • Account, login and access security: Terms of Use, section 3
  • Public code and identity on the platform: Terms of Use, section 4
  • General prohibited conduct: Terms of Use, section 5, and Community Guidelines
  • Ownership and general content licence: Terms of Use, section 6
  • General, automated and human moderation: Terms of Use, section 7, and AI Moderation
  • Mimos (USDC gifts from vault to vault): Terms of Use, section 8; these are distinct from LIVE Gifts (Annex III)
  • Right to cancel paid digital features: Terms of Use, section 10
  • Warranties and limitation of liability: Terms of Use, sections 11 and 12
  • White-label structure and central identity: Terms of Use, section 13, and Privacy Policy, section 8
  • Controller, legal bases, rights, transfers and security: Privacy Policy, sections 1 to 12

2. Definitions

2.1. Terms defined in the Terms of Use retain their meaning. For the purposes of these Terms, the definitions below apply.

  • LIVE: the real-time audiovisual broadcasting feature, started by a Creator, with a Stage, chat and, where enabled, Gifts.
  • Creator: a natural person enabled under clause 3 who starts and hosts a LIVE.
  • Guest: a person with their own account, invited by the Creator and approved to appear on video or audio on the Stage, after accepting Annex I.
  • Viewer: a person with their own account who watches the LIVE, comments and, where enabled, sends Gifts, in accordance with Annex II.
  • Stage: the area of the LIVE in which the image and voice of the Creator and the Guests appear.
  • Episode: each individual LIVE, with its own title, time, maximum duration and maximum number of Guests.
  • Coins: digital units of restricted use within the platform, purchased by the Viewer and used solely to send Gifts (Annex III).
  • Gift: a digital item of interaction and recognition sent to a Creator by consuming Coins.
  • Monetisation Balance: an accounting record, in favour of the Creator, of the value attributed to the Gifts received, after application of the rules in Annex III; it is not a deposit, a payment account or electronic money.
  • Consent Vault: the central system of the corporate structure that holds records of acceptance and consent (clause 4).
  • Moderation Team: the Operator's personnel and automated systems responsible for applying Annex IV.

3. Eligibility and automatic enablement

3.1. You are enabled as a Creator automatically, without a waiting list, as soon as you meet all of the requirements below, and you remain enabled for as long as you continue to meet them: (a) your own active, non-transferable account on the platform; (b) identity verified through the selfie verification available on the platform; (c) aged 18 or over, according to the date of birth declared in your profile and consistent with the verification; (d) acceptance of the current version of these Terms; (e) any additional requirements that the Operator may publish for your organisation or market, such as a minimum number of followers, displayed on screen before enablement.

3.2. The selfie and the declared date of birth are not an absolute guarantee of age of majority. The Operator may, at any time and in particular where there is an indication of underage use, a third-party account or fraud, require enhanced verification: an official photographic identity document, liveness check, age estimation by a specialist third party or any other means described in the 18+ and Age Assurance policy. While verification is pending, enablement may be suspended.

3.3. You must not: create or use an account in another person's name; allow another person to broadcast through your account; use a third party's photograph, document or selfie, or one generated or altered by AI; or assign, sell or rent your enablement.

3.4. False information, a tampered document or use of the account by a third party will result in immediate revocation of enablement (clause 17), without prejudice to the other measures in the Terms of Use and to reporting to the authorities where required by law.

3.5. If you cease to meet a requirement (for example, your verification has expired or been invalidated), your enablement is suspended until the requirement is met again, except where it has been revoked by the Moderation Team, in which case reactivation is not automatic (clause 17.4).

4. Electronic acceptance, evidence and versioning

4.1. You accept these Terms electronically by ticking the acceptance box that shows the version. Acceptance has the same validity as a signature, in accordance with the law applicable to electronic contracting.

4.2. For each acceptance, the Operator records in the Consent Vault: the account and person identifiers, the document identifier and version, the date and time, IP address, device identifier, purpose and an integrity hash of the evidence. This record serves as evidence of acceptance and is retained for the period set out in the Privacy Policy and, at a minimum, for the duration of the relationship and the statutory period for the exercise or defence of rights.

4.3. General acceptance is distinct from specific authorisations. Acceptance of these Terms does not replace the individual authorisations for each LIVE (clause 6) or the promotional authorisation (Annex VI). Each is recorded separately.

4.4. Versioning. These Terms use MAJOR.MINOR.PATCH numbering: (a) MAJOR, for example from 1.x.x to 2.0.0, is a material change to rights or obligations and requires fresh acceptance in order to continue opening LIVEs; (b) MINOR, for example from 1.0.x to 1.1.0, is a new feature or relevant rule and requires fresh acceptance where it creates a new obligation for you or where required by law, and in all other cases is notified in advance; (c) PATCH, for example from 1.0.0 to 1.0.1, is a formal correction with no change to rights, published with a history record.

4.5. The current version of these Terms is published in the Legal Centre, with the effective date in the header; previous versions are provided on request to legal@hzion.com.

5. How LIVE works

5.1. Opening a LIVE. The Creator taps "Go live", sets the title and turns on the camera. Scheduling is optional. For each Episode the Creator sets the maximum duration (currently between 30 and 120 minutes, 60 by default) and the maximum number of Guests (currently between 1 and 8, 4 by default); these limits may be changed by the Operator and are always displayed on screen before opening.

5.2. Who may join the Stage. Only those whom the Creator invites or approves, and who have accepted Annex I and given their own authorisations, may join the Stage. A Viewer may not access the Stage without the Creator's invitation and express approval.

5.3. Ending. The Episode ends when the Creator ends it, when it reaches its maximum duration, as a result of a technical failure or by decision of the Moderation Team (Annex IV).

5.4. The Creator's responsibility for the Episode. The Creator hosts the LIVE and is responsible for what the Creator personally broadcasts and for the choices the Creator makes on the Stage: whom to invite, whom to keep on and what is allowed to be shown in the setting. Each Guest and each Viewer is responsible for their own conduct (clause 15).

5.5. Technical availability. LIVE depends on networks, devices and third-party services and may drop, lag or lose quality. The general availability rule in section 11 of the Terms of Use applies; the interruption of an Episode does not, of itself, give rise to any right to compensation, without prejudice to non-waivable statutory rights and to the treatment of Gifts under Annex III.

6. Individual authorisations before each LIVE

6.1. Before each Episode, the Creator is shown five separate controls, each with its own record in the Consent Vault. There is no single box that covers them all:

Authorisation 1, processing of personal data to produce, broadcast and moderate the Episode: necessary for the performance of the contract; without it LIVE does not work.

Authorisation 2, live broadcast: necessary for the performance of the contract; it is the LIVE itself.

Authorisation 3, use of image in the Episode: a licence of image rights (clause 10 and Annex VI), necessary because LIVE requires a camera; it does not include promotional uses.

Authorisation 4, use of voice in the Episode: a licence of voice rights (clause 10 and Annex VI), necessary for the same reason; it does not include promotional uses.

Authorisation 5, recording for later viewing: optional; refusing it does not prevent the broadcast (clause 6.2).

6.2. Recording. The Operator may keep a technical copy of the Episode for security, moderation, investigation of reports and compliance with legal obligations, on the basis of legitimate interests and legal obligation, for the period set out in Annex VI. This security copy does not depend on authorisation 5 and is never shown to the public. Authorisation 5 concerns only making the Episode available afterwards (replay) and producing content from the recording.

6.3. Authorisations 3 and 4 apply only to the Episode and to the operational uses described in Annex VI. Use in advertising, marketing or promotional clips requires a separate promotional authorisation (Annex VI).

7. Guests on the Stage

7.1. The Creator chooses whom to invite and whom to approve, and shall: (a) invite only persons who appear to be, and declare that they are, aged 18 or over; (b) not pressure, coerce, threaten or offer any advantage to anyone to join the Stage or to do anything on it; (c) immediately remove from the Stage anyone who breaches these Terms, Annex I or Annex IV; (d) not show any person who has not agreed to be on the LIVE, including third parties in the setting.

7.2. Each Guest accepts Annex I and gives their own authorisations before joining. The Creator may not authorise on the Guest's behalf.

7.3. The Operator may remove any Guest from the Stage at any time, irrespective of the Creator's wishes.

7.4. Individual responsibility. Each participant is responsible for their own conduct. The Creator is not automatically liable for the acts of a Guest, but is liable for the Creator's own acts and omissions, for example when inviting a person who is clearly a minor, keeping on the Stage someone who is breaching the rules after becoming aware of the breach, or encouraging the prohibited conduct. There is no presumed joint and several liability; it exists only where imposed by the applicable law.

8. Protection of minors: zero tolerance

8.1. LIVE is exclusively for persons aged 18 or over, whether as Creator, Guest or Viewer. This clause reinforces section 2 of the Terms of Use and the 18+ and Age Assurance policy.

8.2. The following are prohibited, without exception: (a) broadcasting or joining the Stage while under 18; (b) inviting, approving or keeping a minor on the Stage; (c) showing a child or adolescent on the LIVE, including incidentally, in the setting, in the background, on video, in a photograph, on a shared screen or in a call; (d) producing a LIVE whose central theme is the exposure, participation or exploitation of minors; (e) any content involving sexual exploitation, sexualisation, grooming, abuse or exploitation of a child or adolescent, whether real, simulated, drawn or generated by AI; (f) using the LIVE, the chat or Gifts to contact minors, request contact details from minors or lead them to another channel.

8.3. Where there is a risk involving a minor, the Operator may, without notice: cut the LIVE (Annex IV, Level 2), suspend the account as a precaution, withhold the related Monetisation Balance (Annex III), preserve the recording, the chat and the technical records as evidence, and report to the competent authorities and organisations, such as the NCA/CEOP in the United Kingdom, NCMEC in the United States and the Federal Police and SaferNet in Brazil, where there is a legal obligation or a legitimate basis.

8.4. The Creator shall end the LIVE immediately if a minor appears, and shall report via the "Report" button or to safety@hzion.com upon becoming aware of a risk to a minor in another person's LIVE.

9. Prohibited content on LIVE

9.1. Section 5 of the Terms of Use and the Community Guidelines apply. Because LIVE is public and in real time, it is subject to the more restrictive policy detailed in Annex IV (nudity and sexual content, drugs, weapons and violence, and other categories), which forms part of these Terms.

9.2. The list is illustrative: the Operator may interrupt or remove content that poses a material risk to safety, integrity, privacy or legality, even if it is not listed, always stating the reason (Annex IV).

10. Recording, image, voice and licence

10.1. You remain the owner of the copyright in the original content of your LIVE (section 6 of the Terms of Use).

10.2. The general licence in section 6 of the Terms of Use is supplemented, for LIVE, by the four separate licences in Annex VI: (i) operational, to broadcast; (ii) security, to record and store for security and moderation purposes; (iii) later viewing, only with authorisation 5; (iv) promotional, only with a separate promotional authorisation.

10.3. You are responsible for holding the rights to everything you broadcast: music, videos, images, trade marks, sporting events and third-party content (Annex VI).

11. Virtual Gifts and monetisation

11.1. The rules on Coins, Gifts, Monetisation Balance, settlement, withdrawal, refunds, chargebacks and fraud are set out in Annex III.

11.2. Sending Gifts and monetisation take effect only once the commercial rules (commissions, time limits, minimum amount and methods) have been published in Annex III and notified to Creators. Until then, no amount is due to the Creator in respect of Gifts, and the Creator shall not promise the public any earnings or rewards linked to Gifts.

11.3. Being a Creator does not guarantee earnings, audience, prominence or income. The Creator is not an employee, partner, agent or representative of the Operator; the Creator is a user who produces content on their own account.

11.4. You must not request, accept or make anything conditional upon payment outside the platform (bank transfer, wallet, external link, crypto, gift card or any other means) in connection with the LIVE or Gifts. This does not prevent the Creator from promoting lawful professional activities within the limits of the Community Guidelines and the advertising rules in Annex IV.

12. Creator conduct and safety

12.1. The Creator shall not display on the LIVE their own or third parties' personal data that would enable someone to be located or harmed, such as an address, identity document, telephone number, bank details, vehicle registration plate or a banking app screen.

12.2. The Creator does not speak on behalf of the Operator or the brand and may not use the platform's trade mark, logo or name in a way that suggests partnership, sponsorship or employment, unless authorised in writing.

12.3. The Operator never asks for a password, verification code, private key, recovery phrase or payment in order to release earnings. Any such request, even if it appears to come from the team, is a scam and should be reported to safety@hzion.com.

12.4. The Creator shall use the Stage tools (removing a Guest, ending the LIVE, reporting) responsibly and shall not use them to harass or expose anyone.

13. Moderation, measures and appeals

13.1. LIVE moderation follows Annex IV: ending with notice (Level 1), immediate cut (Level 2), graduated measures, preservation of evidence and the right of appeal.

13.2. The Creator receives a statement of reasons for the measure through a private channel, with a level of detail consistent with the security of any investigation, and may challenge it through the Moderation Appeals procedure (appeals@hzion.com), within the time limits in Annex IV.

14. Privacy

14.1. Data processing on LIVE follows the Privacy Policy, supplemented by Annex V (LIVE Privacy Notice), which details only the categories, purposes, legal bases and retention periods specific to LIVE: image, voice, recordings, age and identity verification, Gifts and payouts.

14.2. LIVE is public by nature: what you show and say may be seen and heard by Viewers, who may record the screen by their own means in breach of the rules. The Operator prohibits this conduct and acts on reports, but cannot technically prevent it in every case.

15. Liability and indemnity

15.1. Sections 11 and 12 of the Terms of Use apply. Nothing in these Terms excludes or limits any liability that cannot be excluded by law, or any non-waivable consumer rights in the country of residence.

15.2. The Creator is liable for loss and damage caused by content that the Creator personally broadcasts or by breach of these Terms, and shall reimburse the Operator for amounts that the Operator is required to pay to third parties for that reason (judgment, settlement approved by the Creator or a fine imposed by an authority), provided that: (a) the Operator notifies the Creator without undue delay; (b) allows the Creator to participate in the defence; and (c) the liability actually arises from an act or omission of the Creator. This indemnity does not apply to loss or damage caused by the Operator's own fault.

15.3. The Operator moderates and removes content in accordance with these Terms and the applicable law, including the duty to act upon notice in the cases provided for by law, such as non-consensual intimate content, and the platform duties under the Digital Services Act and the Online Safety Act, where applicable.

15.4. The Operator cooperates with authorities upon a legally valid request, in accordance with the Privacy Policy.

16. Safety tools

16.1. In line with the user-generated content rules of the Apple App Store and Google Play, LIVE provides: (a) Report the LIVE, for Viewers, with reason categories; (b) report and block a user, through the platform's general tools; (c) remove a Guest from the Stage, for the Creator; (d) end the LIVE, for the Creator and the Moderation Team; (e) notice of ending and immediate cut by the Moderation Team; (f) investigation of reports and recording of the measures taken.

16.2. The Operator reviews LIVE reports with a priority proportionate to the risk, with immediate handling of any risk to a minor or to life.

17. Suspension, revocation and termination

17.1. By the Creator. You may stop being a Creator at any time by deactivating the feature in the LIVE area of your profile or by closing your account (section 10 of the Terms of Use). Any eligible Monetisation Balance is dealt with in accordance with Annex III.

17.2. By the Operator. The Operator may suspend or revoke Creator enablement on the grounds set out in Annex IV, always informing the Creator of the reason.

17.3. Effects. Upon revocation: new Episodes are blocked; scheduled Episodes are cancelled; recordings made available may be taken down; the evidence needed for the investigation is preserved for the period set out in Annex VI; and amounts under review are dealt with in accordance with Annex III.

17.4. No automatic reactivation. A revoked account is not re-enabled automatically, even if it once again meets the requirements of clause 3. Only the Moderation Team may reinstate it, by decision on appeal or upon recognition of an error.

17.5. The clauses on liability, evidence, balances, licences already granted for the periods set out in Annex VI and governing law survive termination.

18. Changes to these Terms

18.1. The Operator may amend these Terms in accordance with clause 4.4, giving at least 15 days' notice before the effective date for MAJOR versions and for MINOR versions that create a new obligation, except for changes required by law or by urgent security needs.

18.2. Transition. The new version: (a) does not alter any Episode in progress at the effective date; (b) does not retroactively change the rules for Coins already purchased, Gifts already sent or Monetisation Balance already recorded, which remain subject to the version in force on the date of the transaction, unless the new rule is more favourable to the user or is required by law; (c) if you do not accept a MAJOR version, you can no longer open new Episodes, but you retain the right to withdraw any eligible Monetisation Balance in accordance with the previous version.

19. Governing law, jurisdiction and languages

19.1. Section 1 of the Terms of Use (the law of England and Wales) applies, without prejudice to the mandatory consumer protection and data protection rules of the user's country of residence, which continue to apply.

19.2. Jurisdiction. The courts of England and Wales have jurisdiction. If you are a consumer, you may also bring proceedings in the courts of your place of domicile and may only be sued there, wherever the law of your country grants you that right.

19.3. Languages. These Terms are published in Portuguese, English and Spanish. In the event of any discrepancy between the versions, the English version prevails, except where the law of the consumer's country requires the local-language version to prevail or an ambiguous clause to be interpreted in the consumer's favour.

20. Final provisions and contact

20.1. If any clause is held to be invalid, the remaining clauses continue in full force, and the invalid clause is replaced by the valid clause that comes closest to the original intention.

20.2. Any tolerance by the Operator of a breach does not constitute a waiver of its right to act subsequently.

20.3. You may not assign these Terms. The Operator may assign them to another company in the same group or to a successor, provided that your rights are preserved.

20.4. Contacts: legal, legal@hzion.com; privacy, privacy@hzion.com; safety and reporting, safety@hzion.com; appeals, appeals@hzion.com; support, support@hzion.com.

Annex I. Guest Participation Terms for LIVE

I.1. Application. This Annex applies to anyone who joins the Stage of a LIVE at the Creator's invitation. It supplements the Terms of Use and the Privacy Policy, which you have already accepted when creating your account, and is accepted by you before joining the Stage.

I.2. Requirements. To join the Stage you declare and confirm that: (a) you are aged 18 or over; (b) the account is your own; (c) you understand that you will be seen and heard by the LIVE audience in real time; (d) you accept the content rules in Annex IV. The Operator may require Guests to undergo the same enhanced verification as in clause 3.2.

I.3. Your authorisations. Before joining, you give your own authorisations, one by one: data processing, live broadcast, use of image, use of voice and, optionally, recording for later viewing. The Creator does not authorise on your behalf. Refusing recording for later viewing does not prevent you from joining; in that case, the Episode is not made available as a replay.

I.4. Your obligations. You are responsible for your conduct and for what you show and say on the Stage, including the setting you are in. The prohibitions in Annex IV and clause 8 apply in full: no minor may be visible, not even incidentally.

I.5. Leaving the Stage. You may leave the Stage at any time. The Creator and the Operator may remove you at any time. Leaving or being removed does not give rise to any right to compensation.

I.6. Gifts. The Guest does not receive Gifts or Monetisation Balance, unless a different rule is published in Annex III.

I.7. Recording and licence. Your image and voice in the Episode are subject to the licences in Annex VI, on the same terms as the Creator, according to the authorisations you have given.

I.8. Moderation and appeal. Measures against the Guest follow Annex IV, with the same right of appeal.

Annex II. Viewer Terms for LIVE and Virtual Gifts

II.1. Application. This Annex applies to anyone who watches a LIVE and supplements the Terms of Use and the Privacy Policy.

II.2. Access. To watch, you must have your own account and be aged 18 or over (section 2 of the Terms of Use). Anyone arriving via the link to a LIVE goes directly into it; the platform records that entry occurred through that LIVE (Annex V).

II.3. Conduct. The Viewer may comment and interact. The prohibitions in Annex IV also apply in the chat, in addition to the following: (a) recording, capturing or rebroadcasting the LIVE outside the platform without the authorisation of the Creator and the Guests; (b) asking the Creator or a Guest for prohibited content in exchange for Gifts; (c) requesting contact details or payment outside the platform; (d) using Gifts to harass, humiliate or pressure.

II.4. Stage. The Viewer may not join the Stage without the Creator's invitation and express approval; if invited, Annex I applies.

II.5. Coins and Gifts. The purchase of Coins and the sending of Gifts, where enabled, are governed by Annex III. In summary: Coins are for restricted use on the platform; they are not money, an investment or a deposit; and a Gift sent is consumed and is not returned, save in the cases provided by law and the errors provided for in Annex III.

II.6. Reporting and blocking. Use "Report" on the LIVE and the general blocking tools. Repeated bad-faith reporting breaches the Community Guidelines.

Annex III · 1. Coins, Gifts and monetisation: legal nature

III.1.1. Effectiveness. This Annex has commercial effect only after the commercial rules in item III.5 have been published in this Annex and notified to Creators. Until then, no purchase of Coins for Gifts is offered and no Monetisation Balance arises. Purchases are processed by the app store (Apple or Google) when made in the app and by the payment processor indicated on the purchase screen when made on the web; payouts to the Creator are processed by the payout processor indicated on the withdrawal screen.

III.1.2. Coins are a limited, personal, non-transferable and revocable licence to use digital units solely to send Gifts on the platform. They are not legal tender, electronic money, a security, a cryptoasset, a deposit, a payment account or an investment; they bear no interest; they cannot be redeemed for cash by the Viewer; and they cannot be transferred between accounts or sold outside the platform.

III.1.3. Gifts are digital items of interaction and recognition. Sending a Gift consumes Coins and is not payment for a service, nor does it create any obligation on the Creator to do anything.

III.1.4. LIVE Gifts are distinct from Mimos (section 8 of the Terms of Use), which are voluntary USDC gifts from vault to vault and are governed by their own rules.

III.1.5. The Operator keeps Coins within a closed loop: used only on the platform and not redeemable by the Viewer.

Annex III · 2. The stages of value

III.2.1. The value of a Gift passes through the stages below. Receiving a Gift does not mean having value immediately available for withdrawal.

  • (a) Coins purchased: units credited to the Viewer after confirmation of payment.
  • (b) Gift sent: consumption of Coins recorded at the moment of sending.
  • (c) Gross Gift value: the reference monetary equivalent of the Gift, according to the published table.
  • (d) Monetisation Balance: gross value less the commissions and fees in item III.5, recorded in favour of the Creator.
  • (e) Balance pending validation: the part of the Monetisation Balance still within the processing and anti-fraud validation period.
  • (f) Balance available for withdrawal: the part that has satisfied the time limits and requirements and may be withdrawn.
  • (g) Amounts withheld or held in reserve: the part blocked owing to well-founded suspicion, a payment dispute or a legal obligation (item III.6).

Annex III · 3. Purchase of Coins

III.3.1. Prices and bundles are displayed before purchase, with the final price in local currency and taxes included where required by law.

III.3.2. Channel. In the iOS and Android app, the purchase is made through the store's purchasing system (Apple In-App Purchase or Google Play Billing), in accordance with each store's rules for digital goods. On the web, through the processor indicated on the purchase screen. The channel's terms also apply.

III.3.3. Crediting. Coins are credited after the processor confirms payment. A pending payment does not generate Coins.

III.3.4. History. The Viewer can see the history of purchases and Gifts sent in the Coins area of their account.

III.3.5. Duplicate payment or processing failure: the Operator refunds or credits the difference as soon as it is identified, on its own initiative or upon request to support.

III.3.6. Unauthorised payment, where the card or account was used without the holder's permission: the holder may dispute it, and the Operator cooperates with the processor.

III.3.7. Right to cancel. Section 10 of the Terms of Use and local law apply. For digital content supplied immediately, the Viewer may, where the law permits, expressly consent to immediate supply and acknowledge the loss of the right to cancel in respect of Coins already consumed. Coins not used within the statutory cancellation period of the consumer's country are refundable.

III.3.8. Expiry. Coins do not expire for as long as the account exists.

III.3.9. Suspension of purchases. Where there is concrete evidence of fraud, suspicious payment or security risk, the Operator may suspend the purchase or crediting of Coins, informing the Viewer.

III.3.10. Limits. The Operator may set daily or monthly purchase limits as an anti-fraud and user protection measure, displayed on the purchase screen.

Annex III · 4. Sending Gifts

III.4.1. The process is: (1) the Viewer chooses a Gift; (2) the system deducts the corresponding Coins; (3) the Gift is delivered to the Creator of the LIVE and may be displayed on screen; (4) the transaction is recorded; (5) the Creator sees the Gifts received; (6) the value is recorded as Balance pending validation; (7) conversion into available balance follows item III.5.

III.4.2. Sending is final. If the Gift is not delivered owing to a technical failure, the Coins are automatically returned.

Annex III · 5. Commercial rules

III.5.1. The commercial rules apply only once published and notified, and with acceptance where required by law. Any change that reduces earnings applies only to Gifts received after its effective date (clause 18.2).

III.5.2. Before Gifts are enabled, the Operator shall publish in this item and notify to Creators:

  • the platform's commission on the gross value, by purchase channel;
  • who bears the store and processor fees;
  • the processing period;
  • the anti-fraud validation period, by originating payment method;
  • the period for availability for withdrawal;
  • the minimum withdrawal amount;
  • the frequency of payments;
  • the settlement currency;
  • the payout methods;
  • the countries in which withdrawal is available;
  • the taxes withheld at source and the tax documents required, by country.

Annex III · 6. Holds and reserves

III.6.1. The Operator may withhold amounts or hold them in reserve only where there is: (a) a well-founded investigation of fraud, manipulation or money laundering; (b) a payment dispute (chargeback) or refund request linked to the amount; (c) a serious breach of these Terms linked to the origin of the amount; (d) a legal order or obligation; or (e) a pending verification of identity, bank account ownership or tax data required for withdrawal.

III.6.2. The hold: (a) affects only the amounts related to the cause; (b) is notified to the Creator within 2 business days, with the reason, unless notification would prejudice an investigation or is prohibited by law; (c) is reviewed at least every 30 days; (d) does not exceed 180 days, unless there is an order from an authority or pending proceedings.

III.6.3. Once the cause has ceased, the amount is released in the next payment cycle or set off in accordance with item III.7.

III.6.4. The Creator may challenge the hold through the procedure in Annex IV.

Annex III · 7. Refunds, chargebacks and disputes

III.7.1. Legitimate disputes. Nothing in this Annex limits the holder's right to dispute a charge that is unauthorised, duplicated, for an incorrect amount or that the law permits to be cancelled. In such cases the Operator refunds or cooperates with the processor, without penalty to the user.

III.7.2. The Operator treats the following differently: (a) payment not authorised by the holder; (b) operational error; (c) duplicate charge; (d) processing failure; (e) exercise of a statutory right to cancel or obtain a refund; (f) abusive chargeback, that is, an unfounded dispute after the Coins have been used; (g) bad-faith dispute; (h) deliberate fraud. Only cases (f), (g) and (h) give rise to the measures in item III.7.3, and only after a review that takes account of the available evidence.

III.7.3. In the case of an abusive or fraudulent dispute, where the law permits and in a proportionate manner, the Operator may: suspend the account as a precaution; block new purchases and sending; cancel unused Coins purchased with the disputed payment; reverse the benefits obtained with the disputed amount; record a negative balance and set it off against future purchases; close the account in serious or repeated cases; preserve records; notify the processor and the authorities, where appropriate; and pursue the proven loss through the courts.

III.7.4. Effect on the Creator. Where a Gift received is reversed owing to a chargeback, a statutory refund or fraud by the Viewer, the corresponding amount is deducted from the pending Balance. If the amount has already passed validation and been withdrawn, the Operator bears the loss where the Creator did not participate in the fraud, and sets it off against future balance only where there is evidence of the Creator's participation.

III.7.5. No presumption of an offence. Disputing a payment is not, of itself, a criminal offence or an infringement. Liability depends on proof of unlawful conduct, intent, loss and the other requirements of the applicable law.

Annex III · 8. Creator duties in respect of Gifts

III.8.1. The Creator shall: maintain a genuine identity; designate a payout account held in the Creator's own name or in the name of a legal entity owned by the Creator, with proof; comply with the Creator's own tax obligations; and provide the tax and identity data requested for withdrawal.

III.8.2. The following are prohibited: simulating Gifts; sending Gifts to oneself through other accounts; arranging exchanges of Gifts with other Creators to inflate metrics; using third parties to conceal the origin of funds; making content conditional upon payment outside the platform; and misleading Viewers as to the nature or destination of Gifts, for example by presenting them as a donation to a charitable cause without authorisation.

III.8.3. The Operator may require additional verification (identity, bank account ownership, tax information, proof of address) before releasing the first withdrawal or withdrawals above the limit displayed on the withdrawal screen, in accordance with the anti-money laundering obligations of the processor and the applicable law.

Annex III · 9. Termination and balance

III.9.1. If the Creator closes the account or ceases to be a Creator, the Balance available for withdrawal is paid in the next cycle, and the pending Balance is paid once validation has been completed, provided that the Creator keeps the payout details valid.

III.9.2. In the event of revocation for proven fraud, the amounts linked to the fraud are not paid and may be set off against the proven loss; the remainder follows item III.9.1.

III.9.3. Any balance below the minimum amount at termination is nevertheless paid, less only the actual transfer fee.

Annex IV · 1. Safety, content and moderation: scope

IV.1.1. This Annex applies to Creators, Guests and Viewers, in respect of everything that appears on the LIVE: video, audio, setting, shared screen, title, chat and Gifts. It supplements section 7 of the Terms of Use, the Community Guidelines and the AI Moderation policy. The LIVE policy is more restrictive than the legal minimum, by decision of the platform.

Annex IV · 2. Prohibited content

IV.2.1. Nudity and sexual content: full or partial nudity of a sexual nature; display of genitals; real or simulated sexual acts; pornography; masturbation; explicit sexual content; explicit fetishes and sexual practices; requesting or offering sexual favours or services, including in exchange for Gifts; intimate exposure of third parties; and any sexual content involving minors, in any circumstances.

IV.2.2. Drugs and substances: sale, distribution, offering or facilitation of the acquisition of illegal drugs or controlled substances without authorisation; encouragement of trafficking; demonstration of production or preparation; and promotion of distribution networks.

IV.2.3. Weapons and violence: promotional or commercial display of firearms; demonstration of their use; display of a weapon for the purpose of intimidation; trade in weapons or ammunition; threats, assaults, torture or graphic violence; incitement to crime; and display of a violent act in progress. LIVE prohibits any visible firearm, even where possession is lawful in the user's country.

IV.2.4. Other categories: hate speech, racism and discrimination; harassment, stalking and intimidation; extortion, threats and blackmail; encouragement of suicide or self-harm; human exploitation and human trafficking; financial fraud, scams and pyramid schemes; money laundering; unauthorised gambling and betting; promotion of criminal activity; exposure of third parties' personal data, documents, addresses or financial information; deepfakes used to defraud, deceive or harm; copyright infringement, including rebroadcasting films, music, sporting events or other protected content without authorisation; misleading advertising or advertising not identified as such; impersonation; manipulation of Gifts and transactions; requesting payment outside the platform; misinformation that poses a risk to health or safety; and any content contrary to the applicable law.

IV.2.5. The list is illustrative (clause 9.2).

IV.2.6. Mental health. Speaking openly about one's own experience of mental health is permitted; encouraging, instructing or glorifying suicide or self-harm is prohibited. Where there is an imminent risk, the Moderation Team may cut the LIVE and signpost sources of help.

Annex IV · 3. Two levels of intervention

IV.3.1. Level 1, ending with notice. Where the irregularity does not require immediate intervention, the Moderation Team shows the Creator and the audience, for 1 to 30 minutes, the notice: "This live will end in N minutes by decision of the moderation team." The reason is communicated to the Creator through a private channel. The Creator may correct the conduct, but the notice is cancelled only if the Moderation Team withdraws it.

IV.3.2. Level 2, immediate cut without notice, in the event of: nudity or prohibited sexual content; participation or exposure of a minor; serious violence; a threat to life or physical integrity; a crime in progress; exploitation or abuse; imminent risk; or a serious breach of platform security.

Annex IV · 4. Measures and gradation

IV.4.1. Possible measures, according to severity, repetition, intent and risk: (a) warning; (b) ending of the Episode; (c) temporary restriction, as a rule of 24 hours, 7 days or 30 days without opening a LIVE; (d) suspension of features (Stage, chat, Gifts); (e) blocking of monetisation; (f) precautionary hold of amounts within the limits of Annex III; (g) permanent revocation of Creator enablement; (h) closure of the account, in accordance with section 7 of the Terms of Use.

IV.4.2. Level 2 breaches involving a minor, sexual exploitation or serious violence may lead directly to measures (g) and (h), without gradation.

IV.4.3. Revocation is not reversed automatically (clause 17.4).

Annex IV · 5. Statement of reasons and record

IV.5.1. Every measure is recorded (who decided, when, under which rule and on what evidence) and notified to the affected person with: the measure, the rule breached, the facts on which it is based, whether there was an automated decision and how to appeal, at a level of detail consistent with the security of any ongoing investigation. For users in the European Union, this notification follows the statement of reasons in article 17 of the Digital Services Act.

IV.5.2. The evidence relating to the measure (security recording, chat, technical records and reports) is preserved for the period set out in Annex VI, or for longer where there is an investigation, proceedings or a request from an authority.

Annex IV · 6. Appeals

IV.6.1. The affected person may appeal within 6 months through the Moderation Appeals procedure (appeals@hzion.com).

IV.6.2. The Operator responds within 7 days in cases of revocation and holds of amounts, and within 15 days in all other cases, through a person other than the one who made the initial decision and without relying solely on an automated decision.

IV.6.3. Where an error is recognised, the measure is reversed, enablement is reinstated, amounts wrongly withheld are released in the next payment cycle and the record of the measure is marked as reversed.

IV.6.4. Users in the European Union may also refer the matter to a certified out-of-court dispute settlement body (article 21 of the Digital Services Act), as described in the DSA Notice.

Annex IV · 7. Reports

IV.7.1. Anyone may report a LIVE via the "Report" button or to safety@hzion.com. Reports of risk to a minor or to life receive top priority.

IV.7.2. The person reporting receives an acknowledgement of receipt and, where possible, the outcome, in accordance with the Safety and Reporting policy.

Annex V · 1. LIVE Privacy Notice: relationship with the Privacy Policy

V.1.1. This Notice adds only what is specific to LIVE. The controller, privacy contact, data subject rights, international transfers, security and sharing follow sections 1, 2, 7, 8, 9, 11 and 12 of the Privacy Policy. For Brazil, the LGPD Annex also applies.

V.1.2. GOMO CAPITAL MANAGEMENT LTD is the controller of LIVE data across all brands. Providers of real-time video, cloud, moderation, age verification and payments act as processors under contract, as listed in Sub-processors. Apple, Google and the payment processor are independent controllers of the data they process for their own purposes, such as the in-store purchase.

Annex V · 2. Data processed on LIVE

V.2.1. For each category: data subjects, purpose, legal basis (UK GDPR and GDPR; LGPD) and retention.

  • Identity and age verification (selfie, liveness check and document, where required), of Creators and Guests: to enable LIVE and prevent minors and fake accounts; legal basis of legal obligation and legitimate interests in protecting minors (LGPD, art. 7, II and IX); if the verification generates biometric data to identify the person, legal basis of explicit consent or substantial public interest (GDPR, art. 9(2)(a) and (g); LGPD, art. 11, I, or II, g); retained for the shortest period the purpose requires, in accordance with the Privacy Policy, keeping only the result (passed or failed, date and method).
  • Date of birth, of Creators and Guests: to confirm the minimum age; legal basis of contract and legal obligation (LGPD, art. 7, V and II); retained for as long as the account exists.
  • Image and voice in the live Episode, of the Creator and Guests: to broadcast the LIVE; legal basis of contract (LGPD, art. 7, V), the image and voice authorisation being a licence of personality rights (Annex VI); not stored beyond transit, save for recording.
  • Security recording, of the Creator and Guests: for moderation, investigation of reports, defence of rights and legal obligation; legal basis of legitimate interests and legal obligation (LGPD, art. 7, IX, II and VI); retention as set out in Annex VI.
  • Recording for later viewing, of the Creator and Guests who have authorised it: for replay and production; legal basis of consent (authorisation 5; LGPD, art. 7, I); kept while available and taken down upon withdrawal (Annex VI).
  • LIVE chat, of all participants: for interaction and moderation; legal basis of contract and legitimate interests (LGPD, art. 7, V and IX); retained for up to 30 days, extended only while there is a report, investigation or request.
  • Entry source (entered via LIVE and through which LIVE), of the Viewer: for LIVE and Creator metrics and anti-fraud; legal basis of legitimate interests (LGPD, art. 7, IX); retained for as long as the account exists.
  • Purchases of Coins and Gifts, of the Viewer: to perform the purchase, prevent fraud and comply with accounting requirements; legal basis of contract and legal tax and accounting obligation (LGPD, art. 7, V and II); retained for the applicable statutory tax and accounting period.
  • Balance, payouts and bank and tax details, of the Creator: to pay the Creator, prevent money laundering and comply with tax obligations; legal basis of contract and legal obligation (LGPD, art. 7, V and II); retained for the applicable statutory tax and anti-money laundering period.
  • Moderation and report records, of everyone: to apply Annex IV, enable appeals and provide transparency; legal basis of legitimate interests and legal obligation (Digital Services Act and Online Safety Act; LGPD, art. 7, IX and II); retained for up to 12 months after the last measure, or longer where there are proceedings.
  • IP, device and access logs, of everyone: for security, evidence of acceptance and legal obligation; legal basis of legitimate interests and legal obligation (LGPD, art. 7, IX and II; Marco Civil da Internet, art. 15); retained for the statutory minimum period (in Brazil, 6 months for application access logs) and for as long as necessary for security.
  • Acceptances and authorisations in the Consent Vault, of everyone: to prove acceptance and consent; legal basis of legal obligation and legitimate interests (LGPD, art. 7, II and VI); retained for the duration of the relationship plus the applicable limitation period.

Annex V · 3. Other LIVE privacy rules

V.3.1. Automated decisions. LIVE moderation may use automated analysis of image, audio and text to flag risk. Serious measures (revocation, account closure and holds of amounts) are always subject to human review. The relevant rights are set out in section 6 of the Privacy Policy.

V.3.2. Viewers and third parties appearing on LIVE. Those who only watch do not have their image or voice broadcast. Third parties who appear without having agreed, for example in the background, may request removal from the recording at privacy@hzion.com; the Operator will comply, except where the recording must be preserved as evidence.

V.3.3. International transfers. LIVE data may be processed in the United Kingdom, the European Union, the United States and Brazil, through the providers listed in Sub-processors, with the safeguards in section 9 of the Privacy Policy and, for data originating in Brazil, with the ANPD standard contractual clauses.

V.3.4. Data of a minor received by mistake. If the Operator identifies data of a minor, for example of a child who appeared on a LIVE, it restricts access to the data and erases it as soon as it is no longer necessary for the protection of the minor and as evidence.

Annex VI · 1. Recording, image, voice and licence: ownership

VI.1.1. The Creator and Guests retain ownership of the copyright in their own original content and the personality rights in their own image and voice. This Annex grants only the licences below, each with its own scope. The general licence in section 6 of the Terms of Use continues to apply to all other content.

Annex VI · 2. The four licences

VI.2.1. Each licence arises from a separate act and has its own scope, territory, duration and revocation:

L1, operational (broadcasting): arises from authorisations 2, 3 and 4 for the Episode; permits capture, encoding, real-time broadcasting, display on the Stage, automatic translation and subtitling, and moderation; worldwide; lasts for the Episode; ends when the Episode ends or upon leaving the Stage; royalty-free.

L2, security (recording and storage): arises from the Operator's legitimate interests and legal obligation; permits recording and keeping a non-public copy for moderation, investigation, defence of rights and responding to authorities; worldwide; lasts for the period in item VI.3; not revocable while the security purpose subsists; royalty-free.

L3, later viewing: arises from authorisation 5 for the Episode; permits making the replay of the Episode available on the platform itself, including on the other brands on which the Creator has a profile; worldwide; lasts for as long as the Creator keeps the replay; revocable at any time, with take-down within 72 hours; royalty-free.

L4, promotional: arises from a separate promotional authorisation (item VI.4); permits clips, trailers and promotion of the platform, on and off the platform; worldwide; lasts 12 months, renewable; revocable for future uses, and materials already published under the Operator's control are removed within 30 days; royalty-free, unless otherwise specifically agreed in writing.

VI.2.2. Technical sublicence. The Operator may sublicense licences L1 to L3 only to the providers that operate the infrastructure (video, cloud, content delivery, moderation and translation), to the extent necessary to provide the service, without any right of their own to use.

VI.2.3. No licence permits the use of the image or voice of the Creator or a Guest to train artificial intelligence models.

Annex VI · 3. Retention period for security recordings

VI.3.1. The security recording is kept for up to 30 days and erased automatically thereafter, except where there is a report, moderation measure, appeal, investigation, proceedings or request from an authority, in which case it is kept until the conclusion of those procedures and of the statutory period for defence. It is stored with the cloud providers listed in Sub-processors.

Annex VI · 4. Promotional authorisation

VI.4.1. The Operator uses image and voice in advertising, marketing or promotional clips only with a specific, separate and optional authorisation, requested outside the flow for opening a LIVE, which states the use, channels, territory and duration. Refusing does not affect enablement or the reach of the LIVE.

Annex VI · 5. Withdrawal

VI.5.1. Withdrawing authorisation 5 removes the replay; withdrawing the promotional authorisation prevents future uses. Withdrawal does not affect the security licence or any lawful use made before it.

VI.5.2. Upon closure of the account, licences L1 and L3 terminate; licence L2 follows the period in item VI.3.

Annex VI · 6. Music and third-party content

VI.6.1. Broadcasting music, films, series, sporting events, TV broadcasts or other protected content without a licence from the rights holder is prohibited.

VI.6.2. Music. Unless there is an express notice on screen that a particular piece of music is licensed by the platform, the Creator shall not play third-party recorded music on the LIVE; playing one's own music or music in the public domain is permitted. The public performance of music is subject to the collective management organisations of each country, such as ECAD in Brazil, PRS for Music and PPL in the United Kingdom, and the equivalent organisations in other countries.

VI.6.3. The Operator handles copyright infringement notices through the procedure in the Safety and Reporting policy and at legal@hzion.com.
